PROBLEM TO BE SOLVED: To obtain the subject cellulose derivative that causes no bleeding, even when it is formulated more than several PHR and is useful as an antioxidant agent for rubber by allowing cellulose to react with a specific aromatic amine at a specific temperature in the presence of an acidic catalyst. SOLUTION: The objective derivative is prepared by allowing (A) fine crystalline powder of cellulose preferably having an average particle size of several to several tensμm to react with (B) an aromatic amine having an antioxidant action, preferably a p-monosubstituted aminodiphenylamine derivative of the formula (R is an alkyl, an aryl, 3-methacryloxy-4-dhydroxypropyl or the like) (C) in the presence of an acidic catalyst (for example, concentrated sulfuric acid), when necessay, (D) in an organic solvent (for example, decaline) at about 80 deg.C or higher, preferably at about 80-200 deg.C, more preferably at about 140-160 deg.C to give the objective derivative. This derivative is formulated to rubber in an amount of about 5-50 pts.wt. per 100 pts.wt. of the rubber.
