PROBLEM TO BE SOLVED: To utilize ventilation exhaust heat as heat source for heat pump when the outer air temperature is high by a structure wherein a ventilation exhaust heat duct is introduced into the outdoor unit of an existing air conditioner, an external cover and an underfloor cover are provided, and an outdoor unit is surrounded by a heat insulated air chamber while exposing the heat exhausting part to the outside. SOLUTION: When the outer air temperature is low, ventilation exhaust heat is taken into an air chamber 33 as the heat source for a heat pump. Alternate operation or concurrent operation of heating and hot water supply is performed by switching the heating mode and hot water supply mode for respective regulation and branch valves. At the time of cooling operation, hot water is produced using a heat exchanger 9 in a heat insulated hot water supply tank 8 as a radiator. Condensed refrigerant is returned through the branch regulation valves and the refrigerant pipe back to an original circuit and chill is fed from an indoor unit. When the outer air increases, an underfloor cover 35 is opened and stabilized low temperature air is taken in from under the floor thus ensuring most efficient operation of air conditioner.
