PROBLEM TO BE SOLVED: To provide a structure of mounting a member on a panel, in which fixing work of a mounted member to a panel is easy, and which has a high fixing strength to the panel. SOLUTION: This structure comprises a spacer 27 which has both a flange part 26 and a cylindrical part 25 to be inserted into a mounting hole 23a of a vehicle body panel 23, and an anchor pin 31 projected from an electrical connection box 22. When the anchor pin 31 is inserted into the cylindrical part 25, it widens and deforms the tube-like part 25. The cylindrical part 25 consists of plural flexible tube wall pieces 34, which are bent outward in a radial direction when tip locking parts 36 are pressed toward a base end in an axial direction. The anchor pin 31 is formed with an anchor base part 39 which is inserted into the flexible tube wall pieces 34 so as to slidingly abut on inner faces 35 in a base end side of the flexible tube wall pieces 34, an actual locking part 40, and a temporary locking part 43. The actual locking part 40 presses the tip locking parts 36 of the flexible tube wall pieces 34 outward in the radial direction so as to widen and deform the cylindrical part 25, and prevents relative movement of the tip locking parts 36 toward a tip of the anchor pin 31, while the temporary locking part 43 prevents the relative movement of the tip locking part 36 toward the tip of the anchor pin 31 without widening and deforming of the cylindrical part 25.
