PROBLEM TO BE SOLVED: To provide a polymer composition having excellent vibration-damping performances at room temperature, reduced deformation at high temperatures, and injection moldability and being capable of being formed into e.g. a very flexible low-modulus vibration-proof vibration-dampening member. SOLUTION: This composition is prepared by dynamically vulcanizing a composition containing component A being a thermoplastic resin or elastomer having double bonds in the molecule, component B being a thermoplastic resin or elastomer containing substantially no double bond in the molecule, and component C being a low-molecular component for imparting flexibility to a product of dynamic vulcanization of components A and B to microdisperse component A in component B and has a storage modulus of 1×10<7> dyn/cm<2> or below at 20 deg.C.
