PROBLEM TO BE SOLVED: To provide a thermoelectric conversion module, which is capable of efficiently converting heat emitted from a heat source into an electric power and a waste heat power generating device equipped with the module, wherein the waste heat power generating device can be enhanced in electric power output and moreover made compact in structure. SOLUTION: A thermoelectric conversion module 9 is so structured as to satisfy the formula, Ri+Ro<Rm<2(Ri+Ro) or Ri+Ro<h/(κ×S)<2(Ri+Ro), and a waste heat electric power generating device is equipped with the thermoelectric conversion module 9 which is arranged between an inner shell 14 where high-temperature heating medium flows through and an outer shell 13 which surrounds the inner shell 14 in a separated state from the outer surface of the inner shell 14 and coming into contact with a cooling water 10, wherein the thermoelectric conversion module 9 is brought into close contact with the outer surface of the inner shell 14 and the inner surface of the outer shell 13.
