PROBLEM TO BE SOLVED: To obtain a propylene copolymer which gives a thermoplastic resin compsn. excellent in softness by copolymerizing propylene, anα-olefin having a specified number of carbon atoms and ethylene in the presence of a catalyst comprising a transition metal complex and an aluminum compd. and/or a boron compd. SOLUTION: A catalyst comprising a complex represented by formula I, II or III and a compd. represented by formula IV, V or VI and/or a compd. represented by formula VII, VIII or IX is used. In the formulas, M<1> is a group 4 atom; A is a group 16 atom; J is a group 14 atom; Cp<1> is a group contg. an anionic backbone of a cyclopentadiene type; R<1> to R<6> are each alkyl, aralkyl, aryl, substd. silyl or the like; X<1> and X<2> are each pref. halogen or alkoxy; X<3> is a group 16 atom; E<1> to E<3> are each a hydrocarbon group; Z is H or halogen: B is trivalent boron; Q<1> to Q<4> are each esp. pref. a 1-20C fluorohydrocarbon group; G<+> is a cation; L is a neutral Lewis base; and (L-H)<+> is a brϕnsted acid. Theα-olefin used is a 4-20Cα-olefin.
