A process for preparing hydroxypropyl quaternary ammonium derivatives with a fatty acid ester function of formula (I): R-CO-O-CH2-CH(OH)CH2-N<+)<R<1>)(R<2>)(R<3>) X<-> (I) R = 7-35 C alkyl; and R<1>- R<3> = 1-18 C saturated or unsaturated alkyl; and X<-> = a halide or an anion of R<4>-O-SO3<->, R4-SO3<-> or R<4>-O-P(=O)(OR<5>)-O<-> R<4>, R<5> = 1-8 C alkyl, comprises reacting in a single stage, in an alcoholic solvent at reflux: (i) a salt of an aliphatic carboxylic acid RCOOH or an aliphatic carboxylic acid and a basic catalyst; and (ii) a compound of formula (II):
