PROBLEM TO BE SOLVED: To provide a catalyst for ethylene/α-olefin/polyene copolymn. which has a high activity, is highly reactive with a polyene, and gives a high-mol.-wt. copolymer. SOLUTION: This catalyst comprises a tansition metal compd. represented by the formula (wherein M<1> is Zr, Hf, etc.; M<2> and M<3> are each Fe, etc.; Cp<1> , Cp<2> , Cp<3> , and Cp<4> are each a group having a cyclopentadienyl backbone; R<1> and R<2> are each a substd. silylene group, etc.; X, Y, and Z are each a cyclopentadienyl group, etc.; and (m), (n), and (p) are each 1-5) and an organoaluminumoxy compd. or an organoboron compd. In this process for producing an ethylene/α-olefin/polyene copolymer, ethylene, anα-olefin, and a polyene are copolymerized in the presence of the catalyst.
