PROBLEM TO BE SOLVED: To obtain a polyolefinic resin composition having more excellent mechanical strength and optical characteristics than those of LLDPE produced in the presence of a Ziegler type catalyst, having the equivalent low temperature heat sealability and transparency to those of metallocene-based ethylene-α-olefin copolymers, having more excellent moldability than those of the metallocene based ethylene-α-olefin copolymers, and excellent in adhesivity to various kinds of substrates without passing through a complicated process, and to obtain a laminate using the polyolefin resin composition. SOLUTION: This polyolefin resin composition comprises (I) a component: an ethylenic (co)polymer satisfying the following requirements (1)-(4) and (II) a component: an epoxy compound having two or more epoxy groups in the molecule and having a mol.wt. of <=3000. The component II is contained in an amount of 0.01-5wt.% based on the resin component. (1): A density of 0.86-0.97g/cm<3> ; (2): a melt flow rate of 0.01-100g/10min; (3): a mol.wt. distribution (Mw/Mw) of 1.5-5.0; (4): a composition distribution parameter Cb of <=2.00.
