PROBLEM TO BE SOLVED: To obtain the subject copolymer excellent in copolymerizability, wide in a mol.wt. distribution and also wide in a composition distribution by using a catalyst using two kinds of specific transition metal compounds. SOLUTION: (D) Ethylene and (E) anα-olefin are copolymerized in the presence of a catalyst comprising (A) a transition metal compound of formula I (M is titanium, zirconium, hafnium; Cp is a 5-30C cyclic compound group having a cyclopentadienyl skeleton or a substituted cyclopentadienyl skeleton; L<1> -L<3> are eachσ-ligand), (B) a transition metal compound of formula II [(n) is 1-3; L<4> is aσ-ligand] and (C) an aluminum oxy compound to obtain the copolymer satisfying inequality III [Thw is the half value ( deg.C) of a main peak obtained from a composition distribution curve; N is the content of a component E in the copolymer]. (F) A phenolic compound is preferably used in addition to the components A-C.
