A heat insulating/sound shielding panel for ceiling which has excellent workability, sound shielding property, earthquake resistance, heat insulating property and air-tightness and is so installed between the beams in a ceiling as to be put on the beams. A soft sound shielding sheet (6) is stuck to the rear surface of a rectangular heat insulating plate (1). The ends of the four sides of the heat insulating plate (1) facing each other are halved vertically so as to form upward step parts (2) which serve as overlapped allowances and downward step parts (3) which serve as overlapping allowances. One or a plurality of shallow grooves are formed in the surface of the heat insulating plate (1) in the longitudinal direction and screw-driving crosspieces (4) whose lengths are equal to those of the grooves are inserted into the grooves and bonded.
