PROBLEM TO BE SOLVED: To obtain a resin composition capable of forming a film excellent in weatherability, resistances to stain, water and solvent, comprising a specific polyurethane dispersion and a prescribed carboxyl group-containing silicone modified resin emulsion. SOLUTION: This composition comprises (A) a polyurethane dispersion obtained by reacting a urethane prepolymer containing a hydrophilic group in the molecule with a chain extender in water and (B) an emulsion of a carboxyl group-containing silicone modified resin obtained by copolymerizing (i) an oxo compound containing a polymerizable double bond with (ii) anα,β-unsaturated ethylenic monomer and (iii) a silicone-based compound containing a polymerizable double bond. The urethane prepolymer of the component A preferably contains a structural unit of the formula (R<1> is a 1-2C alkylene; R<2> is a 2-4C alkylene; R<3> is a 2-4C alkylene, H or a 1-12C alkyl; X is SO3 <-> , PO3 <-> or COO<-> ).
