PROBLEM TO BE SOLVED: To obtain a resin compsn. which is excellent in adhesion to a polyolefin resin and in adhesive properties at high and low temps. by compounding a specific graft copolymer with a thermally degraded low-mol. -wt. polyolefin. SOLUTION: A graft polymer is obtd. by subjecting a free-radical- polymerizable monomer to graft polymn. at 80-260 deg.C for 5-60min in the presence of at least one olefine polymer having a number-average mol.wt. of 1,000-100,000 and selected from among an ethylene-butene copolymer, an ethylene-propylene copolymer, an ethylene-vinyl acetate copolymer, an ethylene-propylene- nonconjugated diene terpolymer, anα-olefin homopolymer, and an ethylene-α- olefin copolymer in a thermally melting and kneading machine. 100 pts.wt. above-obtd. graft polymer is compounded with 1-100 pts.wt. thermally degraded low-mol. -wt. polyolefin having a number-average mol.wt. of 70-40,000 and if necessary 20-250 pts.wt. tackifier.
