PROBLEM TO BE SOLVED: To provide an aq. coating compsn. having a good dispersion stability and excellent processability, storage stability, retorting resistance and flavoring resistance, and suitable for inner coating of a can, a process for preparing the same, and a coating film formed using the same. SOLUTION: According to this process, a polymer obtd. by reacting a copolymer of ethylene and at least oneα,β-unsatd. carboxylic acid as the main constituents with an epoxy resin is preliminarily condensed with a phenolic resin to obtain a polymer, which is then dispersed or dissolved in water to obtain an aq. coating compsn., which is formed into a coating film.
