Apparatus for simultaneously applying an analog cellular phone(36) and CDPD modem(2) performs a transmitting/receiving of an audio signal in every places, and increases a reliability of a product. The apparatus simultaneously uses the analog cellular phone(36) and the CDPD modem(2) in a single system. The apparatus includes: analog cellular phone(36) having a transmitting part, a CDPD modem(2), and a receiving part; a microcomputer(35) for discriminating an audio signal and data, and controlling an input signal of a gate part(40); and a gate part(40) for operation the operation of 3-state buffer(23a,23b)(36a,36g) each included in the CDPD modem(2) and the analog cellular phone(36)
