PURPOSE: To obtain a graft modified copolymer which adheres well to a metal or a polar resin by grafting a polar monomer onto an ethylene-α-olefin copolymer having a specified melt flow rate, a degree of crystallization, etc. CONSTITUTION: This graft modified ethylene-α-olefin copolymer is produced by grafting a polar monomer (e.g. an ethylenically unsatd. compd. having a hydroxyl or amino group, etc., or a vinyl compd.) onto an ethylene-α-olefin copolymer having an ethylene content of 35-98wt.%, a density of 0.85-0.98g/cm, a relation of the melt tension(MT) at 190 deg.C with the melt flow rate(MFR) at 190 deg.C under a load of 2.16kg satisfying the relation expressed by formula I, a degree of crystallization of 30% or lower, a value of B in formula II (wherein PE and PO are molar fractions of ethylene units andα-olefin units. respectively; and PEO is the ratio of ethylene-α-olefin chains to the total dyad chains in the copolymer) of 0.9-2, and a ratio of MFR at 190 deg.C under a load of 10kg to that under a load of 2.16kg of 7-50.
