PURPOSE: To produce a modified epoxy resin having a structure composed of an epoxy resin and a fluororesin substantially being insoluble in this resin and uniformly dispersed in the resin in the form of fine particles. CONSTITUTION: The production process for producing a modified epoxy resin by reacting an epoxy resin (A) having at least two glycidyl groups with a fluororesin (B) comprising a copolymer of a perfluoroalkyl-containing (meth) acrylate represented by the formula [wherein X is hydrogen, chlorine, fluorine or methyl; Y is a 1-3C alkylene or a group of-CH2 CH2 N(R)SO2 -(wherein R is a 1-4C alkyl); and Rf is a 3-15C perfluoroalky group] with anα,β-ethylenically unsaturated monomer, which process comprises reacting at least part of the glycidyl groups of the resin A and the carboxyl groups of the resin B with each other.
