The thermoplastic resin compsn. having impact-resistance comprises : 20-50 wt.% of polycarbonate resin (A); 48-78wt.% of the graft copolymeric cpd.(B) comprising at least one or more of aromatic vinyl cpd. and conjugated dien rubber; and 2-30 wt.% of polyurethane resin (C) contg. at least 10 wt.% of polycaprolacton polyol as a soft segment.
