The copolyetherester is prepared by polycondensation of the repeating units of (I), (II) and (III) in the presence of the catalyst selected from phosphoric, manganic or antimonic based catalyst to obtain the polymer, then drying and pre-crystallizing and bulk-polymerizing at 120 deg.C for 12 hrs to increase molecular weight. The obtd. polymer contains 1/99 - 99/1 amt. ratio of the repeating units of (II) and (III), and has 0.4-0.7 of intrinsic viscosity in phenone-tetrachloro ethane mixed solvent at 25 deg.C and 1% concentration (wt/vol). The obtd. polymer has good heat-resistance and transparency, then is useful for the package of food.
