PURPOSE: A heat exchanger and an air conditioner therewith are provided to prevent internal air from being mixed with external air in internal/external air separation mode by arranging upper and lower cores with forming a gap between cores, and to cool efficiently by improving heat exchange efficiency. CONSTITUTION: A gap(16) is formed between two tubes(14), and a core(10) of a heat exchanger as a heater core(1) is divided into upper and lower cores(11,12). A first partition wall is mounted in the gap to prevent heat exchange between inlet heat exchange medium flowing in the upper core and outlet heat exchange medium flowing in the lower core. External air blowing to the upper air passage is prevented from being mixed with internal air blowing to the lower air passage with the first partition wall in internal/external separation mode. Heat exchange between heat exchange medium and blowing air is performed efficiently with preventing heat exchange between upper and lower cores. Cooling efficiency is improved, and a glass of the vehicle is defrosted. Fresh air is kept indoors with discharging air.
