A sheet-metal panel (1) for cladding ceilings or walls (2), having insulation (6) arranged between its longitudinal borders (3, 4), has in said insulation (6), on the side directed away from the sheet-metal covering and directed towards the masonry wall or ceiling (2), at least one channel (7) which runs in the direction of the longitudinal extent of the panel (1), is open on the surface directed towards the wall or ceiling (2) and is intended for ventilation, with the result that, for the purpose of fastening the panel (1), no additional lath arrangement or the like is necessary for the ventilation thereof. In this arrangement, rails (9), which have throttle openings (10) for the supply and discharge of air with respect to the channel (7), engage over the ends (8) of the panel (1) and of the channel (7). <IMAGE>
