A process of an enzymatic interesterification in a low water content condition, which comprises subjecting a reaction liquid containing (a) a fat or oil and (b) a member selected from the group consisting of (i) another fat or oil, (ii) a fatty acid ester with a lower alcohol and (iii) a fatty acid to the action of a lipase in the form of an immobilized enzyme catalyst, with adjusting the water concentration in the reaction liquid during the reaction.
