PURPOSE:To obtain the titled compound useful as a flame retardant, flame- retardant resin, etc., by reacting an organic compound having a specific bond in the molecule with a compound having a specific group in the presence of an organic base. CONSTITUTION:(A) An organic compound having a bond expressed by formula I in the molecule (e.g. acetophenone or 4,4'-dihydroxybenzophenone) is reacted with (B) a compound having a group expressed by formula II (e.g. phenyl phosphite or diphenyl phosphite) in the presence of (C) an organic base (e.g. imidazole or pyridine) to afford the aimed compound. Furthermore, the amounts of the components based on 1mol. component (A) are preferably >=0.2mol. component (B) and >=0.01mol. component (C).
