PURPOSE:To obtain the title composition which has excellent adhesiveness to an oily surface of a steel plate and excellent mechanical strength, by incorporating a prescribed amount of a latent curing agent into a modified epoxy resin made by the reaction of a specified epoxy compound component with a specified urethane prepolymer. CONSTITUTION:An epoxy compound component (A) containing an epoxy compound (e.g., bisphenol A epoxy resin) modified with a liquid diene rubber having terminal carboxyl groups and a molecular weight of 1,000-7,000 (the rubber component being 35wt.% or less) is reacted by heating with a urethane prepolymer (B) made by the reaction of a polyether polyol of a molecular weight of 500-3,000 with a polyisocyanate compound (e.g., hexamethylene diisocyanate) to give a modified epoxy resin. 100pts.wt. this modified epoxy resin is then mixed with 5-30pts.wt. latent curing agent (e.g., 4,4-diaminodiphenyl sulfone) to give the title adhesive suitable for structural use.
