PURPOSE:The titled composition, capable of giving a prepreg having excellent resistance to impact, heat and water and moldability as well as sufficient tackiness, by blending a specific curing agent and polyetherimide with an epoxy resin having a specific structural formula using a specific method. CONSTITUTION:(C) A polyetherimide having repeating units of formula III is e.g. cooled, pulverized to preferably a particle size of <=150mu using a impact type grinder, etc., and dissolved in (A) an epoxy resin of formula I (either one of R1 and R2 is CH3 and the other is H) at 100-180 deg.C without using a solvent. Then, the solution is cooled to <=10 deg.C and blended with (B) a curing agent of formula II (R is 3-6C alkylene) to afford the aimed composition containing the components (A)-(C) as essential components and having the lowest viscosity of >=1 poise in a heating process at a rate of 1.5 deg.C/min.
