PURPOSE:To obtain the title copolymer excellent in extrudability and properties of a vulcanizate, by copolymerizing ethylene with an alpha-olefin and optionally a nonconjugated polyene compound is in the presence of a catalyst comprising three specified compounds. CONSTITUTION:Ethylene is copolymerized with 10-60wt% 3-12C alpha-olefin (e.g., propylene) and optionally nonconjugated polyene compound (e.g., dicyclopentadiene) at -20-120 deg.C and a pressure of 0-50kg/cm<2>.G for 5-300min in the presence of a catalyst comprising 0.01-50mmol, per mol of a reaction medium, of an organic solvent-soluble vanadium compound (a) (e.g., vanadium oxychloride), 1-100mol, per mol of compound (a), of an alkylaluminum compound of formula I (wherein R' is a 1-12C alkyl, X is a halogen and 3>=n>0), e.g., ethylaluminum sesquioxide, and 0.03-2.0mol, per mol of component (a), of a silicon compound of formula II (wherein OR is an aliphatic sec alcohol residue, Y is X or a hydrocarbon group and 4>=j>0).
