PURPOSE:To provide the titled compsn. having excellent resistance to heat and impact and giving molding of excellent appearances, consisting of a nylon 46 resin and a specified rubber polymer. CONSTITUTION:1-99wt% nylon 46 resin (A) having a relative viscosity of not lower than 1.5 (concn. 1g/100mol, 97% sulfuric acid, 30 deg.C) is kneaded with 99-1wt% rubbery polymer (B) having each functional group in an amount of 5X10<2>-1X10<4>g/equivalent, obtd. by polymerizing a rubber polymer, a thermoplastic elastomer or a graft copolymer obtd. by grafting a monomer mainly composed of a styrene monomer onto said rubber polymer and said thermoplastic elastomer (a) with an unsaturated compd. (b) having an epoxy, acid anhydride, carboxyl or amino group in the presence of a chain transfer agent (c), a polymn. initiator (d), etc., to modify the polymer with said functional group at 250-350 deg.C.
