PURPOSE:To obtain the title copolymer which is narrow in both MW distribution and composition distribution and can give a molding such as a film excellent in transparency, blocking resistance, heat sealability, impact resistance, etc., by copolymerizing a 3C or higher alpha-olefin with ethylene in the presence of a specified catalyst. CONSTITUTION:A catalyst (C) is obtained by using a Group IVB transition metal compound in which the ligand is a multidentate compound formed by bonding at least tow groups selected from among (substituted) indenyl group and partially hydrogenated products thereof through an alkylene group [e.g., ethylenebis(indenyl)dimethylzirconium] and an aluminooxane (b) of formula I or II (wherein R is a hydrocarbon group and m>=2) as components. A 3C or higher alpha-olefin (A) is copolymerized with ethylene (B) at -80-80 deg.C and a pressure of normal pressure to 30kg/cm<2> or a subatmospheric pressure to obtain the title copolymer containing 30-99mol% component A and 70-1mol% component B and having an intrinsic viscosity of 0.5-6dl/g (in decalin at 135 deg.C), a m.p. of 30-140 deg.C (differential scanning calorimetry) and a boiling methyl acetate-soluble portion <=1wt%.
