PURPOSE:To obtain the titled resin having good moldability and well-balanced physical properties, by polymerizing an aromatic vinyl compound with anspecific ethylenically unsaturated compound in the presence of a latex of a specific acrylic rubber having a specific multilayer structure. CONSTITUTION:95-10pts.wt. one or more of an aromatic vinyl compound and an ethylenically unsaturated compound expressed by the formula [R is H or CH3; X is CN or COOR<1> (R<1> is 1-8C alkyl)], e.g. acrylonitrile, are polymerized in the presence of 5-90pts.wt. latex of a crosslinked acrylic rubber, having a multilayer structure containing 2-80wt% diene based rubber swelled with a latex of an acid group-containing copolymer, e.g. methacrylic acid-butyl acrylate copolymer, in particles and constructing the outer layer thereof with 20-98wt% crosslinked acrylic acid ester consisting essentially of an acrylic acid ester to afford the aimed copolymer. A rigid thermoplastic resin may be incorporated with the above-mentioned copolymer to give 5-80wt% ratio of the above-mentioned acrylic rubber.
