PURPOSE:To obtain an overcoating agent for a transparent and electrically conductive vapor-deposited film having superior scratch and wear resistances by adding a finely powdered matting agent to a vehicle resin in a specified ratio to the solid component in the resin. CONSTITUTION:An overcoating agent which is coated on a transparent and electrically conductive vapor-deposited film so as to improve the scratch and wear resistances is obtd. by adding powder of a polyolefin such as polyethylene or polypropylene, a polyolefin oxide such as polyethylene oxide or polypropylene oxide, hydrophilic or hydrophobic silica having 0.1-30mum average particle size as a matting agent to a vehicle resin made of a thermoplastic resin such as acrylic resin or polyester resin or a thermosetting resin such as acrylic- melamine resin, alkyd-melamine resin or urethane resin by 0.1-20pts.wt. per 100pts.wt. solid component in the vehicle resin.
