PURPOSE:To provide the titled composition having high gel fraction and excellent mechanical and thermal properties, by bonding a specific polyvinyl chloride resin with a specific modified liquid rubber through urethane bond and crosslinking the resin with a crosslinking agent. CONSTITUTION:(A) A polyvinyl chloride resin having hydroxyl group and/or carboxyl group is compounded with (B) a modified liquid rubber having isocyanate group at the terminal and (C) 3-60pts.wt. (based on 100pts. of the resin) of a crosslinking agent and a crosslinking assistant, and the mixture is heated at the urethanization temperature to effect the bonding of said rubber to said resin through urethane bond. Thereafter, the product is heated at the decomposition temperature of the crosslinking assistant to form crosslinking bonds between the side chain double bond of the rubber and the resin.
