PURPOSE:To produce an imide ring-containing epoxy resin of reduced hydrolysis and side reactions of epoxy groups, by reacting a specified aromatic imide compound with an epihalohydrin and ringclosing the product with a bicyclic amidine compound. CONSTITUTION:1mol of an aromatic imide compound having at least one active hydrogen atom, represented by formula I (wherein Ar is a bivalent aromatic organic group, Ar' is a tetravalent aromatic organic group, the four carboxyl groups are directly bonded to different carbon atoms of Ar' and each pair of carbonyl groups are bonded to adjacent carbon atoms of Ar', Ar'' is a trivalent aromatic organic group, the three carboxyl groups are directly bonded to different carbon atoms of Ar'' and a pair of carboxyl groups are bonded to adjacent carbon atoms of Ar'') is reacted with at least 1mol of an epihalohydrin of formula II (wherein X is a halogen and R is H or an organic group) at room temperature-100 deg.C. A bicyclic amidine compound (e.g., 1,8- diazabicyclo[5.4.0]undecene-7) is added to the reaction mixture, and the resulting mixture is dehydrohalogenated to effect ring-closure.
