PURPOSE:To provide the titled compsn. which has excellent pigment inclusion and gives a coating film having excellent smoothness, brilliancy and appearance, consisting of a vinyl copolymer obtd. by solution-polymerizing a monomer mixture in the presence of a chain transfer modifier and a dibasic carboxylic acid. CONSTITUTION:A monomer mixture of 5-40wt% glycidyl group-contg. monomer [e.g. glycidyl (meth)acrylate] and 95-60wt% ethylenically unsaturated monomer [e.g. (meth)acrylate ester] is solution-polymerized in the presence of 0.01-1.0pts. wt. phosphite (e.g. mono- or diphenyl phosphite) and 0-0.5wt% chain transfer modifier (e.g. n-dodecylmercaptan) to obtain a vinyl copolymer (A) having a number-average MW of 1,500-30,000 and a glass transition point of 10-75 deg.C. Component A is melt-kneaded with a dibasic carboxylic acid (B) (e.g. 1,12- dodecanoic acid) as a hardener in a ratio by equivalent of epoxy group to COOH group in component B of 0.5-1.5.
