PURPOSE:To efficiently obtain in clean working conditions the titled high-quality composition with foaming agent uniformly dispersed, by polymerization of ethylene using, as one catalytic component, a solid foaming agent pretreated with specific highly active catalytic component. CONSTITUTION:Using, as catalyst, a combination of (A) a product derived from contact treatment of (i) highly active catalytic component soluble in hydrocarbon solvent along with containing transition metal and (ii) hydrocarbon solvent-insoluble solid foaming agent (e.g. ozodicarbonamide) in said solvent and (B) an organoaluminum compound, (C) ethylene is polymerized pref. at 50-90 deg.C, thus obtaining the objective composition. Said component (i) can be prepared, for example, by the reaction between highly fatty acid magnesium salt and titanium compound such as TiCl4.
