PURPOSE:In reacting cellulose with glycidly trimethyl ammonium chloride, to prepare a water-soluble derivative useful as paste, etc., by using dimethylacetamide containing LiCl as a solvent and a basic substance as a catalyst. CONSTITUTION:In reacting cellulose shown by the formula I with glycidyltrimethylammonium chloride shown by the formula II, dimethlacetamide containing LiCl is used as a solvent and a basic substance (e.g., potasium-6-butoxide, sodium alcoholate, 2,6-lutidine, etc.), and the reaction is carried out preferably at 100-120 deg.C, to obtain a water-soluble 2-hydroxy-3-trimethylammonioproply cellulose chloride shown by the formula III. Before the cellulose is dissolved in the solvent, it is immersed in benzene, and preferably water contained in it is removed by azeotropic distillation of benzene and water.
