PURPOSE:To provide the titled compsn. which has excellent storage stability and gives a coating film having excellent rust proofness, water resistance and adhesion, consisting of an aq. epoxy-modified acrylic resin soln. and a water-soluble silane coupling agent. CONSTITUTION:A monomer mixture consisting of (meth)acrylic acid (or its ester), styrene, etc. is polymerized in the presence of a hydrophilic solvent. The acid group of the resulting polymer is neutralized with an org. amine, and the polymer is reacted with a bisphenol type epoxy resin. Water is added thereto to disperse the product in a collidal form, thus obtaining an aq. epoxy-modified acrylic resin soln. (A). 0.5-7wt% (based on the quantity of solid in component A) water-soluble siland coupling agent such as N-(beta-aminoethyl)-gamma-aminopropylmethyldimethoxysilane is blended with component A.
