In this optoelectronic relative displacement sensor, a photoelectric device cooperates with a unit 6 for modulating the light traversing the photoelectric device. The photoelectric device and this modulation unit are respectively coupled to the moving object 31 whose displacement has to be measured and are integral with a fixed reference. The modulation unit 6 comprises a series of zones 6a, 6b which are alternately opaque and transparent in the region of cooperation with the said photoelectric device (optical axes PC and PC2). The latter comprises two photo-couplers 1A, 1B which are adjacent and aligned with a single series of alternating opaque and transparent zones 6a, 6b, while the optical axes PC1, PC2 of the photo-couplers are offset along the said series of zones by a distance which is equal to a whole number of periods p formed respectively by two adjacent zones, increased by a value c which is at most equal to the distance separating the two closest transitions of these adjacent zones. <IMAGE>
