A nitrile resin of a high ethylenically unsaturated nitrile content having excellent solvent resistance, processability and impact strength which is a graft polymerization product of an ethylenically unsaturated nitrile, an aromatic vinyl compound and an alkyl acrylate andor methacrylate in the presence of a 1,3-conjugated diene rubber and which consists of a matrix polymer and a graft polymer consisting of a trunk rubber portion and a branch polymer portion grafting onto the trunk rubber. The proportion of the matrix polymer, the grafting polymer portion and the trunk rubber portion is within the range of 93 to 40 : 2 to 40 : 5 to 20 by weight, and the nitrile content in the grafting polymer portion is larger than the nitrile content in the matrix polymer.
