In a process for polymerization of ethylene, using a catalyst composed of an organic Al compd. (B) and a reaction product (A) of a Mg compd. and a Ti compd. Mg dialkoxide is reacted with an alcohol and silicon cpmpound of the formula, Xn1 Si(OR1)4-n, to obtain modified Mg dialkyloxide, where; X1= halogen, R1=alkyl, 0<n<=4. The mole ratio of alcohol to Mg dialkoxide is 0.1-10:1, and the atomic ratio of halogen to Mg is less than I. The product is reacted with Ti halide in the pressence of alkoxy-containing Si compd. of the formula X42-m-Si(OR2)m, where: X2=halogen, R2=alkyl, and 0<m<=4. The final product can be used as a catalyst for ethlene polymerization.
