PURPOSE: A heat exchanger and an air conditioner therewith are provided to prevent internal air from being mixed with external air in internal/external air separation mode, and to cool efficiently and improve heat exchange efficiency by forming a gap between upper and lower cores. CONSTITUTION: A heat exchanger(1) is composed of an upper core(11) formed with stacking flat tubes(13) having two plates(14) and radiating fins alternately, and a lower core(12) arranged symmetrically to the upper core in the lower part of the upper core. A gap(16) is formed between the upper core and the lower core. An air conditioner has the heat exchanger. A first separation wall is mounted through the gap between upper and lower cores, and a second separation wall is combined with the first separation wall. A third separation wall is combined with the rear end of the first separation wall. An internal air passage in a case is divided into upper and lower air passages with first, second and third separation walls. Heat exchange between heat exchange medium and blowing air is performed efficiently with arranging upper and lower cores in the heat exchanger. Internal air is prevented from being mixed with external air in internal/external separation mode.
