The present invention relates to a modified conjugated diene polymer represented by chemical formula 2 and having excellent heat emission properties, tensile strength, wear resistance and wet road surface resistance. The present invention also relates to a method for preparing the same polymer and a rubber composition comprising the same polymer. In chemical formula 2, R_1 and R_2 are the same as or different from each other and each represents a C1-C10 alkyl group; R_3 and R_4 are the same as or different from each other and each represents a C1-C10 alkylene group; R_5 represents a C1-C10 alkyl group; and A is P or OR_6, wherein P is a conjugated diene polymer chain and R_6 is a C1-C10 alkyl group.
