PROBLEM TO BE SOLVED: To increase thermal conductivity, and to improve a handleability by impregnating base cloth made of pitch-based carbon fiber with silicone rubber. SOLUTION: Base cloth 2 made of pitch-based carbon fiber is impregnated with silicone rubber 1 as a heat-conducting sheet 3. At least on one part of the base cloth being impregnated with the silicone rubber of the surface of the heat-conducting sheet, namely the carbon fiber, may be exposed on the surface of the heat-conducting sheet. Also, a heat-conducting support material is dispersed and combined in the heat-conducting sheet for improving thermal conductivity. Furthermore, when the heat-conducting sheet 3 needs to be electrically insulated, an electrical insulation layer may be laminated at least on one side of the heat-conducting sheet, or the heat-conducting support material may be dispersed and combined. As the pitch-based carbon fiber, not only petroleum and coal families, but also an optically anisotropic pitch should be used. As the base cloth, woven and non-woven fabric, cloth, paper, felt, or the like can be used.
