PROBLEM TO BE SOLVED: To obtain an epoxy resin composition having improved flame-retardant effect and heat resistance, and useful as a semiconductor-sealing material by formulating a nitrogen-based compound having a specific structure and a phosphorus-containing compound with a novolak type epoxy resin. SOLUTION: This composition comprises (A) a novolak type epoxy resin, (B) a compound having a phenol skeleton and a triazine skeleton, and (C) a compound of the formula (R is H, a 1-10C hydrocarbon; (m) and (n) are each 1-4), (e.g. 9,10-hydro-9-oxa-10-phosphaphenanthrene-10-oxide), or a hydrolyzate thereof. The ratio of the components A to B is preferably regulated so that the ratio of the epoxy groups in the component A to the hydroxy groups in the component B may be (1/0.35)-(2/1). The component B is preferably obtained by condensing a triazine compound (e.g. isocyanuric acid) with phenols (e.g. phenol) and aldehydes (e.g. formaldehyde).
