PROBLEM TO BE SOLVED: To provide modified cellulose excellent in dispersibility to a resin and useful as a composite material of the resin, a manufacturing method therefor and a resin composition containing the modified cellulose.SOLUTION: Cellulose and a fluorene compound represented by the formula (1) having a carboxyl group and a glycidyl group are reacted in a presence of a catalyst to obtain modified cellulose where cellulose is bond to the fluorene compound. There is provided modified cellulose having a shape of a nanofiber having average fiber diameter of 5 to 500 nm.
