PROBLEM TO BE SOLVED: To provide a damping valve capable of generating a damping force as targetted without overriding in damping force. SOLUTION: The damping valve V includes a valve disc 2 provided in the middle of a passage F for communicating one chamber R1 with the other chamber R2, a spool 3 for opening/closing the passage F by seating/unseating on an annular valve seat 24 installed in the valve disc 2, and a pilot passage P for communicating the one chamber R1 with the other chamber R2 via the inside of the spool 3 and applying a pilot pressure to the spool 3. A cylindrical flow straightening wall 63a projecting to the valve disc 2 side from the valve seat seating surface is provided in an outlet end at valve disc 2 side of the pilot passage P. The valve disc 2 side end of the flow straightening wall 63a is disposed on the side closer to the valve disc 2 from the spool seating surface of a valve seat 24 even when the spool 3 opens the passage F.
