<P>PROBLEM TO BE SOLVED: To provide a prepreg capable of providing a carbon fiber-reinforced composite material having both excellent impact resistance and conductivity. <P>SOLUTION: The prepreg contains [A] a carbon fiber and [B] a thermosetting resin, and satisfies at least one of the following (1) and (2). (1) The prepreg contains [C] a thermoplastic resin particle or fiber, and [D] a conductive particle or fiber, and the weight ratio of [a blend amount (pts.wt) of [C]]/[a blend amount (pts.wt) of [D]] is 1 to 1,000.
