PROBLEM TO BE SOLVED: To provide a rubber composition which is excellent in fuel economy, wet grip performance and wear resistance, and a pneumatic tire. SOLUTION: The rubber composition includes: a rubber component, silica, and a mercapto-containing silane coupling agent. The content ratio of a conjugated diene-based polymer is at least 5 mass% in 100 mass% of the rubber component, the conjugated diene-based polymer having constituent units based on a conjugated diene and constituent units represented by formula (I), and at least one end of the polymer being modified by a specific compound having a group represented by formula (II). The content ratio of the silica is 5-150 pts.mass. [In formula (I), X<SP POS="POST">1</SP>, X<SP POS="POST">2</SP>and X<SP POS="POST">3</SP>each independently represent a group represented by formula (Ia), hydroxy, hydrocarbyl or substituted hydrocarbyl, and at least one of X<SP POS="POST">1</SP>, X<SP POS="POST">2</SP>and X<SP POS="POST">3</SP>is a group represented by formula (Ia) or hydroxyl].
