PURPOSE: A vehicle upgrading system and a method thereof are provided to reduce costs for ROM data replacement by remotely upgrading ROM data without a visit to a repair center when there is an error in an ECU(Electronic Control Unit). CONSTITUTION: A telematics unit(101) receives new ROM data from a telematics server(200). If an upgrade condition is satisfied, an ECU(103) upgrades current ROM data as the new ROM data by using a sub battery(111) and a main battery(109). The upgrade condition is when a charging state and a voltage level of the sub battery and the main battery are higher than a predetermined reference, when a vehicle is parked, and when a CAN(Controller Area Network) communication state of the vehicle is normal.
