<P>PROBLEM TO BE SOLVED: To provide an observation device and a microscope device which are capable of suppressing the generation of new stray light when a light-shielding diaphragm is arranged. <P>SOLUTION: The observation device 3 includes a first image forming lens L1 and a reflecting member M, is detachably attached to a microscope main body, reflects a luminous flux made incident from the objective lens of the microscope main body and then, forms an observed image. The microscope device includes the observation device.
