<P>PROBLEM TO BE SOLVED: To provide a heat exchanger that exchanges heat between a plurality of heating media to adjust the amount of exchanged heat for each heating medium, and to provide a water heater including the same. <P>SOLUTION: The heat exchanger includes: a coolant pipe 1' in which coolant as a heat source circulates; a hot-water supply pipe 9' which is arranged adjacent to the coolant pipe and in which water to be supplied as hot water circulates; and a bath pipe 12' which is arranged adjacent to the coolant pipe and in which water for a bath circulates. A plurality of first layered parts are layered, in which the hot-water supply, the coolant pipe, and the bath pipe are sequentially layered and which exchange heat between water to be supplied as hot water and water for the bath and coolant. In addition, a second layered part 200 is layered on the first layered parts 100.
